1. What transactions can I file online through Central Business Registry?
Currently you can file a new Assumed Business Name, a Limited Liability Company or an Oregon Business Corporation with the Secretary of State. You can also register for a business identification number with the Department of Revenue and the Oregon Employment Department if you will have employees.

In the coming months you will be able to file other business entity types. We plan to add the capability to allow you to manage your records and update information with the State, and receive important email reminders for renewal due dates and other reporting obligations.

In the future, you will be able to request a Federal Tax Identification Number with the Internal Revenue Service, and register with Oregon licensing agencies and City and County governments as required.

2. Why isn't my Entity filed immediately?
Your registration must be reviewed by Business Registry Staff before it is completed. This process should begin within one business day after you submit your filing. When your filing is submitted online, a confirmation email will be sent to the email address you gave us when you registered with the Secretary of State. Please add: MyCbrRegistration@sos.state.or.us to your trusted email address list so you can receive our emails.

3. How will I know if my filing contained any errors I need to correct?
You will receive an email stating there are items that need to be corrected. We will also send a letter to the mailing address stating what needs to be corrected.

4. How will I know when my Entity has been filed?
You should receive an email stating your filing is completed.
You may keep checking your CBR Portal worklist at; https://secure.sos.state.or.us/ABNWeb/.
When the filing is completed, it will move from your business registration worklist to your "completed business registrations" list. If you click on the name of the business from this list, it will take you to the details for this business.

5. When will my renewal be due?
An Assumed Business Name renews every two years. All other entity types renew every year. Your renewal will be due on your anniversary date of filing. The current fee to renew is $50.00. We send the renewals out automatically about 45 days in advance.

6. What if I need to change a name or address at a later time?
You can find our Assumed Business Name amendment form at: http://www.filinginoregon.com/forms/pdf/business/102.pdf
You can change names and/or addresses, or add or remove counties. You can never change the actual business name. That would require a new filing.

7. What are Cookies and why are they necessary?
This application uses "cookies" and cookies must be enabled. This is the standard setting for most browsers. A cookie file is a small text file created by a web site on your computer hard drive that contains unique information the site can use to track such things as your business name and registry number. A cookie is often used in commercial sites to identify the items selected for a specific shopping cart application. If cookies are used on the web site, their use will be clearly marked. While most browsers have an option that allows you to control the use of cookies, their use might provide some features that cannot be used if cookies are turned off.

8. Is your system always available?
In order to provide you with the most up-to-date information possible, some of our services may be unavailable between the hours of 11:15 PM and 3:00 AM Pacific Time. We apologize in advance for any inconvenience and ask that you check back with us at a later time.

9. Is it safe to pay for my new registration online?
Yes. At the State of Oregon we use the industry standard Secure Sockets Layer technology to encrypt your payment information. As a result, any payment information you enter online is protected, and will not be used by anyone other than the State of Oregon.

10. Are there special requirements for filing banking names?
A business name may not contain a word or phrase that implies banking or related financial activity, without written authorization from the Division of Finance and Corporate Securities.

If the word or phrase is used in a manner that is clearly not describing a banking activity, it is not necessary to get written approval. Some examples of business names that do not need approval are:

11. How do I print a free copy of my online filing?
You can print a free copy of your online filing by logging into Central Business Registry Register Online. Go to “Completed” in your Worklist, and there will be an option to “Print Copy” next to the business name.
