UCC Definitions

APL: (ORS Chapter 87.705) - Agricultural Produce Lien
An agricultural producer that delivers or transfers agricultural produce for sale to a purchaser has a lien for the contract price of that produce, or for the reasonable value of the produce if there is no contract price. The lien on the agricultural produce, inventory, proceeds or accounts receivable attaches on the date physical possession of the agricultural produce is delivered or transferred by the agricultural producer to the purchaser or an agent of the purchaser.

A lien created under ORS 87.705 expires no later than the end of the 45th day after the date that the final payment to the agricultural producer is originally due, unless the producer extends the lien by filing a notice of lien with the Secretary of State. If the agricultural producer extends the lien, the lien expires no later than the 225th day after the date that the final payment to the producer is originally due.

ASL: (ORS Chapter 87.226) - Agricultural Services Lien
A person who performs labor, supplies materials or provides services on farmland, range, ranch, orchard or in that person’s place of business to aid the growing or harvesting of crops or the raising of animals has a lien upon the crops or animals for the reasonable or agreed charges for labor, materials or services.

A person claiming a lien created by ORS 87.226 shall file a written notice of claim of lien with the Secretary of State not later than 75 days after the close of the furnishing of the labor, services or materials. The Secretary of State shall include a notice of claim of lien that is filed with the secretary under this subsection in the index maintained by the secretary for filing financing statements pursuant to ORS chapter 79.

EFS: (ORS Chapter 80.100 - 80.130) - Effective Financing Statement
Filings that are part of the Central Farm Product Filing System for the State of Oregon. It is essentially a record that gives notice that an effective financing statements (EFS) relative to Farm Products has been filed with the UCC office. Its major purpose is to alert buyers of farm products to the existence of any security interests on the crops or livestock they may be interested in purchasing. Registration to the monthly Master List gives each registrant (buyer/seller/commission merchant) a list of all EFS filings sort-able by names and or crops. The information on this list is essential for those needing to know who (if any) holds a security on a product of interest.

EW: (ORS Chapter 657.515) - Employment Warrants
If an employer liable for the payment of contributions to the Unemployment Compensation Trust Fund is in default, ORS 657.515 (3), the amount of contributions, interest and penalties due shall be a lien in favor of the Director of the Employment Department upon all property, whether real or personal, belonging to such employer.

A copy of any statement of lien filed (as provided in ORS 657.535) or any warrant attaching the lien (ORS 657.540) may also be filed in the office of the Secretary of State. Filing in the office of the Secretary of State shall have no effect until a copy of the statement of lien or a warrant has been recorded with a county clerk.

When a copy of the statement of lien or the warrant is filed with the Secretary of State such filing shall have the same effect with respect to personal property as if the copy of the statement of lien or the warrant had been duly recorded with the county clerk in each county of this state.

A copy of the statement of lien or the warrant so filed with the Secretary of State shall be filed and indexed by the Secretary of State in the same manner as is provided in ORS 79.0501 for the filing and indexing of financing statements.

GL: (ORS Chapter 87.755) - Grain Producer’s Lien
An agricultural producer that delivers or transfers grain for sale has a lien on the inventory of the purchaser and proceeds received by the purchaser from the selling of the inventory.

A lien created under ORS 87.755 expires no later than the end of the 180th day after the date the lien attaches, unless the agricultural producer extends the lien by filing a notice of lien with the Secretary of State. If the agricultural producer extends the lien, the lien expires no later than 18 months after the date the lien attaches.

HAZ: (ORS Chapter 466.205) - Hazardous Waste Lien
Any person owning a facility which generates, treats, stores or disposes of and any person having the care, custody or control of a hazardous waste or a substance which would be a hazardous waste except for the fact that it is not discarded, useless or unwanted, who causes or permits any disposal of such waste or substance in violation of law or otherwise than as reasonably intended for normal use or handling of such waste or substance, including but not limited to accidental spills thereof, shall be liable for the damages to person or property, public or private, caused by such disposition.

All expenditures covered by this section and all penalties and damages for which a person is liable to the state under this chapter and ORS chapter 465 shall constitute a lien upon any real and personal property owned by such person.

The department shall file a claim of lien on real property to be charged with a lien with the recording officer of each county in which the real property is located and shall file a claim of lien on personal property to be charged with a lien with the Secretary of State. The lien shall attach and become enforceable on the date of such filing.

IRS: (ORS 87.806 (3)) - Federal Tax Liens
Notices of federal liens upon personal property, whether tangible or intangible, for obligations payable to the United States and certificates and notices affecting the liens shall be filed in the office of the Secretary of State.

PF: (ORS Chapter 79.0102(00) - Public Finance
Public-finance transaction" means a secured transaction in connection with which:
      - Debt securities are issued;
      - All or a portion of the securities issued have an initial stated maturity of at least 20 years; and
      - The debtor, obligor, secured party, account debtor or other person obligated on collateral, assignor
         or assignee of a secured obligation, or assignor or assignee of a security interest is a state or a
         governmental unit of a state.

RW: (ORS Chapter 305.182) - Revenue Warrants
The Department of Revenue may file warrants issued against any taxpayer for unpaid state taxes in the Office of the Secretary of State as provided in this section.

TU: (ORS Chapter 79.0102(bbbb) - Transmitting Utility
Transmitting utility" means an organization primarily engaged in the business of:
      - Operating a railroad, subway, street railway or trolley bus;
      - Transmitting communications electrically, electro magnetically or by light;
      - Transmitting goods by pipeline or sewer; or
      - Transmitting or producing and transmitting electricity, steam, gas or water.

UCC: (ORS Chapter 79) - Uniform Commercial Code
Commercial transactions (including sales and leasing of goods, transfer funds, commercial paper, bank deposits and collections, letters of credit, bulk transfers, warehouse receipts, bills of lading, investment securities, and secured transactions).
